Terms of Service.

These Terms of Service form the agreement between you and Satine Phoenix, a sole proprietorship operating in the State of Colorado, governing your use of satinephoenix.com and any related services. Throughout this document, "I," "me," and "my" refer to Satine Phoenix. "You" and "your" refer to anyone who uses the site or engages with the practice. By using the site, booking a session, joining a membership, or otherwise engaging with the practice, you agree to these terms. If you do not agree, please do not use the site.

The services.

I operate a health optimization coaching practice. The services I provide include coaching sessions, protocol design, and the coordination of partner providers in the protocol you and I build together. The practice is educational in nature and is not medical practice. The Medical Disclaimer linked in the footer of this site covers this point in detail; reading it is part of using the site responsibly.

Specific offerings, including the Strategy Session, Foundation membership, The Concierge membership, and à la carte sessions, are described in detail on the Programs page. Pricing, minimum commitments, and inclusions are listed there. The descriptions on that page are part of these terms when you book or enroll.

Eligibility.

You must be at least eighteen years of age to use the site and to engage with the practice. By using the site, you confirm that you meet this requirement. If you are using the site on behalf of a business or organization, you confirm that you have the authority to bind that entity to these terms.

Booking, payment, and cancellation.

Bookings are made through the calendar links and forms on the site. Payment is due at the time of booking for the Strategy Session and at the start of each billing cycle for memberships. Payments are processed by my payment processor, which currently is Stripe, and may include Venmo, PayPal, or Zelle for membership clients by arrangement.

Strategy Session refund window.

Strategy Sessions are refundable within twenty-four hours of purchase. After that window, the fee becomes non-refundable, but I will reschedule the session at no charge or apply the fee as a credit toward a future Strategy Session, a follow-up session, or your first month of membership.

Membership minimum commitments.

Foundation requires a three-month minimum commitment. The Concierge requires a six-month minimum commitment. The minimum commitment is the commitment, and mid-season cancellation refunds are not offered. Pausing is reserved for medical emergencies, bereavement, and similar life events. If something like that happens, write to me directly and we will figure it out together.

Upgrades and downgrades.

You may upgrade from Foundation to The Concierge at any time. The new tier begins the next billing cycle, and the minimum commitment resets to the new tier's minimum. Downgrades and changes mid-season are handled on a case-by-case basis; write to me and we will work it out.

Partner costs.

Lab work, peptides, hormones, supplements, DNA testing, biomarker tracking, and any local modalities I coordinate for you are sold and billed by the partner providers directly. I do not bill for these. Partner cancellation, refund, and shipping policies are set by the partner and apply directly between you and them.

Acceptable use.

You agree to use the site and the practice in good faith and in compliance with all applicable laws. You agree not to:

• Use the site for any unlawful purpose, including the violation of any local, state, federal, or international law.
• Attempt to gain unauthorized access to any part of the site, my systems, or any system used by my service providers.
• Copy, reproduce, distribute, or create derivative works from any content on the site without my written permission, except as expressly permitted in the Intellectual Property section below.
• Use any automated means, including scrapers, bots, or harvesting tools, to access or extract content from the site without my prior written consent.
• Misrepresent yourself, your medical history, or your reasons for engaging with the practice during intake or any other interaction.
• Use the site, my emails, my session recordings, my protocols, or my session notes to harass, defame, or harm any person, including me.
• Resell, redistribute, or commercially exploit any of the protocols, plans, written materials, or coaching content I create for you.

I reserve the right to refuse service, terminate accounts, decline future bookings, or end an active engagement if you violate these terms.

Intellectual property.

All content on satinephoenix.com, including the text, photography, video, written protocols, downloads, course materials, and the visual design of the site, is owned by Satine Phoenix and protected by copyright, trademark, and other applicable laws.

When you engage in the practice and I create a custom protocol, plan, calendar, or other materials specifically for you, those materials are licensed to you for your personal use. You retain the right to use the materials for your own health and to share them with your physician or other care providers. You do not have the right to resell them, republish them, or use them in any commercial way.

If you want to quote or reference content from the site for editorial, educational, or commercial purposes, write to me at team@satinephoenix.com. I am usually glad to grant permission with a credit, and the conversation is fast.

The nature of the coaching relationship.

The coaching relationship is one of education, guidance, and accountability. It is not a medical relationship. I am not a licensed medical doctor, nurse, physician assistant, psychotherapist, registered dietitian, or licensed mental health practitioner. The Medical Disclaimer in the footer of this site covers this point in full, and you should read it as part of agreeing to these terms.

You are responsible for your own health decisions. The protocols, suggestions, and education I provide are intended to support your own informed decision-making in collaboration with your physician and the licensed medical providers in your protocol. You are encouraged, and at certain times explicitly directed, to consult a qualified physician before starting any new supplement, peptide, hormone protocol, exercise program, dietary change, or fasting protocol.

Disclaimers.

The site and the services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, I disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

I do not guarantee any specific result from coaching, from any protocol, from the use of peptides or hormones coordinated through the partner providers, or from any educational material on the site. Individual results vary widely and depend on many factors outside of my control, including your biology, your adherence, your environment, your concurrent care, and your life circumstances.

I do not guarantee that the site will be uninterrupted, error-free, or free of viruses or other harmful components. You use the site at your own risk.

Limitation of liability.

To the fullest extent permitted by applicable law, in no event will Satine Phoenix be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including damages for lost profits, lost data, lost goodwill, or any other intangible loss, arising out of or in connection with your use of the site, the services, or any content on the site, even if I have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, my total cumulative liability to you for any and all claims arising out of or in connection with these terms, the site, or the services will not exceed the greater of one hundred dollars or the total amount you have paid to me in the six months preceding the event that gave rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. In those jurisdictions, my liability is limited to the maximum extent permitted by law.

Indemnification.

You agree to indemnify, defend, and hold Satine Phoenix harmless from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the site, your violation of these terms, your violation of any law, or your violation of any third-party right, including any intellectual property right or privacy right.

Governing law and disputes.

These terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these terms or your use of the site will be resolved exclusively in the state or federal courts located in Denver County, Colorado, and you consent to the personal jurisdiction of those courts.

Before filing any formal action, you agree to first contact me in writing at team@satinephoenix.com to attempt to resolve the dispute in good faith. Most disputes can be resolved this way without involving courts, and I am committed to working with clients and visitors to find fair outcomes when something has gone wrong.

Changes to these terms.

I may update these Terms of Service from time to time as the practice grows or as legal requirements change. When I do, I will update the effective date at the top of this page. If the changes are material, I will let active clients and email subscribers know by email. Continued use of the site after a change indicates your acceptance of the updated terms.

Severability and the rest.

If any provision of these terms is found to be unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect. My failure to enforce any provision of these terms is not a waiver of my right to enforce that provision later.

These terms, together with the Privacy Policy and the Medical Disclaimer, constitute the entire agreement between you and me regarding the site and the services, and they supersede any prior agreements on the same subject.
